1. Who we are
These Terms & Conditions ("Terms") are a binding agreement between you and Ledger.com ("Ledger.com", "we", "us", or "our"), the provider of the Ledger.com invoice audit and expense intelligence service (the "Service"). By creating an account, accessing, or using the Service you agree to these Terms.
2. Acceptance and authority
By continuing to use the Service you confirm that you accept these Terms, that you are of legal age to enter into a contract, and that, where you use the Service on behalf of an organisation, you have authority to bind that organisation.
3. The Service
Ledger.com provides automated invoice processing, auditing, and expense analytics. We do not guarantee that the Service will be uninterrupted, error-free, or that any specific result will be achieved. You are responsible for verifying outputs before relying on them for accounting, tax, or other regulated purposes.
4. Acceptable use
You must not misuse the Service. In particular you must not:
- use the Service for any unlawful purpose, fraud, or spam;
- infringe the intellectual property or privacy rights of others;
- upload malware, attempt to probe, scan, or breach the security of the Service; or
- scrape, reverse engineer, resell, or redistribute the Service or its outputs except as permitted by your plan.
5. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information and keep it up to date.
6. Intellectual property
Ledger.com and its licensors retain all right, title, and interest in and to the Service, including the underlying software, models, documentation, and branding. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with your plan.
7. Your content
You retain ownership of invoices and other content you upload. You grant Ledger.com a limited licence to host, process, and display that content solely to provide the Service to you.
8. Payments, billing and refunds
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing frequency, applicable taxes, cancellations, and refund mechanics are governed by Paddle's Buyer Terms. Refund requests are handled in accordance with our Refund Policy.
9. Suspension and termination
We may suspend or terminate your access to the Service in the event of material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. On termination, you may export your data for a reasonable period after which we may delete it.
10. Warranties and liability
To the fullest extent permitted by law, the Service is provided "as is" and we disclaim all implied warranties including merchantability and fitness for a particular purpose. Our aggregate liability for any claim arising out of these Terms is limited to the fees you paid for the Service in the twelve months preceding the claim. We exclude liability for indirect, consequential, or special damages, except where liability cannot be excluded by law (such as for fraud or personal injury).
11. Changes
We may update these Terms from time to time. Material changes will be notified through the Service or by email. Continued use after changes take effect constitutes acceptance.
